Okay this is going to be a very brief and straightforward post. Several times we receive email inquiries from supposed “borrowers and or brokers” trying to dictate a procedure for bank instrument transactions or loan.
More often than not, these so called “borrowers” are nothing more than unscrupulous intermediaries trying to get in the middle of a transaction by listing their “procedure”. I have yet to see a single bank or other reputable financial institution who will even consider looking at a customers “procedures”; that is just a broker’s fantasy.

You either follow the lender’s procedures or you get nothing, that is the reality of the financial markets.
If a lender has not set procedures for loans or bank instruments, then most probably they are not a real lender, most probably they are just intermediaries tweeting your ear so you not go away until they find something close to what you as a borrower are looking for.


So if you are really looking for financing, BG or SBLC, instead of wasting time trying to impose your terms/procedure to loan lenders and bank instrument providers, try to see who is real and who is not, and then try to choose from them whatever is more convenient to you. No loan lender or bank instrument provider is going to do your procedure simply because you have been scammed before. Yes we get lost of stories like this: I HAVE BEEN SCAMMED BEFORE, SO NOW IT IS GOING TO BE MY TERMS/PROCEDURE ONLY.

Entering into a commercial or financial transaction always involves certain risks for the seller or the financier. The most serious risk is that of not being paid. There are many methods available to help ensure payment. One such method is through the use of a letter of credit.
The letter of credit substitutes the credit of a third party, usually a bank, for that of the buyer or debtor. In transactions in which a commercial letter of credit is used, the bank agrees to pay the seller for the goods sold, usually upon presentation of a document stating that the goods have been received by the buyer. In transactions in which a standby letter of credit is used, the bank agrees to pay the financier if the debtor defaults upon his obligation to pay. In both cases, the seller or financier is assured of payment, provided the conditions of the letter of credit are satisfied. Upon payment by the bank, the buyer or debtor is obligated to reimburse the bank.

Three legal relationships exist in a letter of credit transaction. First is the contractual relationship between the seller and buyer or the financier and debtor evidenced by a contract for the sale of goods or a contract to lend money. The underlying contract, in addition to creating an obligation of payment or performance, requires the buyer or debtor to arrange for a bank (the issuer) to issue a letter of credit to the seller or financier (the beneficiary). Second is the contractual relationship between the bank and the buyer or debtor (the bank’s customer). The customer arranges for the bank to issue the letter of credit in favor of the beneficiary, and the customer agrees to pay the bank for the amounts paid under the letter of credit. Third is the relationship between the issuer and the beneficiary. This relationship is evidenced by the letter of credit. In most cases, Article Five of the Uniform Commercial Code (UCC) governs the use and interpretation of letters of credit. The UCC defines a letter of credit as “an engagement by a bank or other person made at the request of a customer that the issuer will honor drafts or other demands for payment upon compliance with the conditions specified in the letter of credit. There is no particular form required for a letter of credit other than that it must be in writing and signed by the issuer. No consideration is necessary.

These three relationships are separate and distinct. The letter of credit is independent from the underlying business transaction between the bank’s customer and the beneficiary of the letter of credit. This independence from the underlying contract creates a primary obligation on the part of the bank to the beneficiary and is the key to the utility of a letter of credit. The bank’s obligation to honor the letter of credit is not conditioned upon performance or nonperformance of the underlying contract. Instead, the bank’s only obligation is to determine whether the drafts or demands for payment made by the beneficiary comply with the conditions specified in the letter of credit.

If the letter of credit requires presentation of documents for payment, then the bank must examine the documents with care to ascertain whether, on their face, they appear to comply with the terms of the letter of credit. If the conditions specified in the letter of credit have been satisfied, the bank must pay the beneficiary unless a required document is forged or fraudulent, or there is fraud in the transaction. If the fraud or forgery is not apparent on the face of the document, the bank may not refuse payment even if notified by its customer that there has been a fraud or a forgery committed. A court may, however, enjoin payment in such a case.

Upon payment of the letter of credit by the bank, the customer has no cause of action against the bank for improperly honoring the demand for payment unless the bank accepted noncomplying documents and did not use care and good faith in examining them. When the beneficiary makes a demand for payment of the letter of credit, he warrants to all interested parties that the necessary conditions of the letter of credit have been satisfied. If the beneficiary has made an improper demand for payment and did in fact receive payment, then the customer has a cause of action against the beneficiary for breach of this warranty.

Man Global Investments Ltd (MGIL) Welcomes you to the 2nd quarter of 2016, the defacto year of Standby Letter of Credit (SBLC) is a document issued by a bank that guarantees payment to the beneficiary in the event the applicant fails to fulfill an obligation (i.e. contract performance). The SLC will stipulate the requirements for making a claim against the SLC. These requirements are negotiable and must be agreed upon by both parties. International rules exist through the International Chamber of Commerce (ICC) that govern how banks handle SBLC.

 A Performance Bond is a guarantee issued by a Surety (insurance co.) that stipulates the Surety will pay for the costs of completion a contract in the event of the applicant’s non-performance. The terms of a performance bond are typically predetermined by the Surety. and tend to be more common in international transactions.

The costs of a  and a Performance Bond vary, with a  usually more expensive.  also tends to be more risky for the applicant, as it leaves one open to a risk referred to as “Wrongful Call”; whereby the beneficiary requests payment from the bank with the appropriate documents containing the necessary wording without a valid basis for the claim. Banks will NOT make any attempts to confirm the veracity of a claim.
If documents are in order the bank will pay. The bank will expect the applicant to pay them and the applicant needs to recover the monies from the beneficiary. Banks refuse to become involved in contractual disputes. A Performance Bond prevents this type of risk as an insurance co. will not pay without validating the claim, and often defending against the claim. Obtaining payment often involves legal action. This is the downside for a beneficiary.

What you need to know about Monetizing Bank Instruments

One thing I have noticed about this niche of finance is that common sense does not prevail. Allow me to be even more frank. Most people don’t know what they are doing.

Yeah you heard me right.

Most people, brokers included, have absolutely no clue what it takes to be successful in Monetizing Bank Instruments.

Many brokers think that if they have an instrument, then someone who is involved in monetizing bank instruments will automatically give them several million in cash and it’s all over. In reality however, the truth is much different.

People who purchased a Bank Guarantee, a Standby Letter of Credit, or other bank instrument are often shocked to learn that their newly purchased instrument was never designed to be monetized and is therefore worthless for their intended purposes.

Bank Guarantees can be worded specifically for monetization, i.e. to secure credit lines. Not all Bank Guarantees are intended for monetization so it is important to understand what you paying for and what you are getting to ensure that it will work for your intended purpose.

If you don’t have a bank instrument, we suggest acquiring your BG from us, this means that the monetizing process will be easier, smoother and faster since we provided the instrument through our prime banks.

The truth of the matter is that having the money to buy an instrument doesn’t mean that your project will get funded or that your bank instrument can or will be monetized. Of the limited providers who work with Monetizing Bank Instruments, it is very possible that none of them will be interested in monetizing your Bank Guarantee.

What you need to know…

First things first. You should know who will be monetizing your instrument before you purchase it. You should also understand that not all BG’s or SBLC’s are the same.

Pay attention to where the BG is coming from. Is it from Europe, Africa or Asia? The jurisdictions and legal ramifications are not the same and you should know and understand the differences. This will also affect the instrument’s cost and acceptability to third parties.

Read the language and text of your SWIFT MT-760, Bank Guarantee or SBLC carefully. Pay attention to every word and have it reviewed by professionals and the beneficiary prior to paying for anything. Verify if the bank instrument is intended for monetization and find a supplier who will monetize it in advance.

I already bought an instrument! Now what?

This is where the confusion and frustration sets in. You have your BG or SBLC and your monetizer fell through. You now need another provider that specializes in monetizing bank instruments.

What else is needed to be successful in Monetizing Bank Instruments?

Several things. A business plan and solid relationships are a good start. In other words, you must have an actual project and a professional business plan.

The key is that you must have your paperwork together and you must have a tangible way to make money from your project or investment. Ultimately the investor must like and believe in your project. Anyone can purchase a Bank Guarantee but only those who have done the hard work will actually get in monetized.

Be prepared to submit a full CIS (or Bio/Application) on your company and its officers along with a complete business plan and the text of your BG or SBLC. Explain how you acquired the BG and why you need it monetized.

Go into detail about how you plan to exit this strategy and how you intend to return the instrument at the end of the term.
