from Banks or Monetizers as well as for the Purchase and Sale of Goods or
Services depending on the type of instrument requested.
Should you have an interest in the Lease and Sale of these, kindly inform
and we will be glad to share with you our PROCEDURAL TERMS in regards to
setting things in motion for an IMPENDING TRANSACTION. Upon the acceptance
of your party to work with the Lessor’s Terms, we would have Legal Contract
in place for the transaction to be set up between the Applicant and the

Understanding the Difference Between Institutional and Private Capital Funding and Funders

Banking as we once knew it is gone for a very long time. In fact, very few institutional banks funded large commercial projects in 2009. I have substantial visibility into the market and the only institutional activity I saw was banks calling their notes due immediately. Banks were forced to do this because of their own liquidity issues and many developers were left with no funds and the project(s) came to a screeching halt.

“Joe Developer” then knocked on every bank’s door only to find the same answer: “sorry, we are not lending right now.”

Since the death of institutional banking, the developers have gone to the private equity world to get their projects funded. My company has always worked exclusively in the private equity side of funding and have had to introduce many of these seasoned developers to the private funding world. Fortunately, this world is actually more simple and efficient than the traditional, institutional banking model. There are, however, some differences that anyone seeking private financing for the first time needs to be made aware of.

1. Your private funder usually has his own idiosyncrasies. For example, a funder may only be interested in hospitality projects in Costa Rica, Mexico and Panama. That’s just his funding footprint. He knows the area and is comfortable lending there.

2. There are no referrals in the private money world. Period. Your local bank advertises their closings. Private money never discloses their transactions or their clients. Your private funder will have you sign an NCND, which means you cannot even reveal who funded your project. This protects the funder. He does not want to be vetted, interviewed or interrogated. He usually has a “gate keeper” or “master broker” that will qualify you. Once you fit his funding footprint, he will want to meet you face to face. At this point, the funder will give you every comfort level you will need to assure you of his abilities to fund your project.

3. Private money moves fast. If you, as a developer, have all of your business in order, you can fund in as little as a week.

4. Private money has no rules. Every funder has their own terms and will structure a loan in the most “make sense” way for your project. It’s best to hear what is offered than tell him what you will accept. As the old addage goes, “the tail will not wag the dog”.

Advice on Breaking Bad News to Clients

One of the toughest parts of anyone’s job is being the bearer of bad news. We don’t live in a perfect world and not every business transaction turns out the way we expect it to. In my business, there are about 300 ways a transaction can go wrong and about 50 of them we either have no control over or have no visibility of. This is particularly true in complex transactions where there are many dynamics involved in reaching the finish line.

Unfortunately, somewhere along the path to the finish line, you may encounter and obstacle a delay or even a deal killer. So, the billion dollar question is: how do you most effectively and professionally break this news to the client while still maintaining the highest degree of professionalism while preserving your reputation? The answer is to effectively manage your client’s expectations from the very beginning. You can do this by giving them a few company mantras they can always count on, no matter what happens.

In my company, it is our policy to tell the client from the very beginning, “Mr. Client, we like your project and would only accept it if we thought we had a very high probability of funding your project. I can’t promise you that it will happen. But, what I can promise you is this: we will always tell you the truth, the good truth or the bad truth….just don’t shoot the messenger!” We then pause, and can almost hear a sigh of relief. In the past they’ve likely had an experience where they were in the dark for a long period of time, only to find out their project was denied.

You see, this is what everyone wants. They just want the truth in real time, and they want you to have the courage to deliver it. We further explain that if there is a problem, we want to get them involved immediately, because they may have some insight into solving the problem. This seals the bond in the relationship between you and your client. Another thing to tell them up front is that if you have no news to share, you won’t contact them. And, not to misconstrue this as negligence, it’s just the most effective way for you to run your business.

Again, it goes back to managing expectations in the beginning. If there is a delay, tell them immediately. And always go back to your mantra when you have to break some bad news: “Mr. Client, I promised to always tell you the good truth and the bad truth as soon as I get it. Today, I have a bad truth to share with you and I need your help in getting this issue resolved.” Try it and you’ll be surprised. As always, honesty-timely honesty- is always the best policy
